Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Fileport, including the website at https://fileport.io, its download pages, its paste pages and all related services (together, the “Service”). The Service is owned and operated by Fileport Inc., a Delaware corporation registered in the United States (“Fileport”, “we”, “us” or “our”).

By accessing or using the Service in any way, including by uploading or downloading files, by creating or reading pastes or by creating an account, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

1. Definitions

  • Account holder means a person who has registered for a Fileport account, whether free or paid.
  • Guest means a person who uses the Service without an account.
  • Content means any files, folders, text or other material that you upload to, create on or share through the Service, including pastes, QR codes and requests, together with the names, titles, descriptions, tags and other details attached to them.
  • Upload means a file, a folder or a set of files uploaded to the Service together and shared through a single download link.
  • Paste means text, in plain text or Markdown, that you create on the Service and share through a single paste link.
  • Request means a link that an account holder creates on the Service so that others can send them files.
  • Recipient means anyone who opens a download link, a paste link or the page of a QR code, or downloads an upload.
  • Paid plan means any subscription offered for a fee, as described on our Pricing page.

2. Eligibility

You may use the Service only if you are of legal age to form a binding contract under the laws of your jurisdiction, or are otherwise legally able to enter into these Terms. The Service is not directed to children, and no one under the age of 13 may use it. By using the Service, you represent and warrant that you meet these requirements.

If you use the Service on behalf of a company or another organization, you represent that you are authorized to accept these Terms on its behalf, and “you” then includes that organization.

3. Changes to these Terms

We may amend these Terms at any time and without prior notice. Amended Terms take effect when they are published on this page, and the date at the top of this page shows when they were last updated. Your continued use of the Service after an update constitutes your acceptance of the amended Terms. If you do not agree with any of the amended Terms, you must stop using the Service.

4. The Service

Fileport lets you upload files and folders and share them with others through download links. With Paste, you can also share text, in plain text or Markdown, through paste links that open in the browser. With Request, account holders can collect files from others through request links. Recipients do not need an account to download or read what you share with them, and no account is needed to send files to a request.

The Service can be used as a guest, with a free account or with a paid plan. The features, limits and prices of each option are described on our Pricing page. We may add, change, limit or remove any feature of the Service at any time.

5. Accounts

  • You must provide accurate and complete information when you register, and keep it up to date.
  • You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. We recommend that you enable two-factor authentication.
  • You must notify us without delay through the Contact Support form if you suspect any unauthorized use of your account.
  • Account holders whose plan includes multiple users may invite other people to join their account. The inviting account holder is responsible for the users they invite, is billed for them as described in section 10, and may remove them at any time. Removing a user permanently deletes that user's uploads, photobooks, pastes and requests, including the files sent to their requests, and moves their QR codes to the inviting account holder.

Guest uploads and pastes are tied to the browser they were made from through a session cookie. If you clear that cookie or switch to another browser, you can no longer manage your guest uploads and pastes, although their links keep working until they expire.

6. Your content

You retain all ownership rights in your content. Fileport does not claim ownership of anything you upload or paste.

You grant Fileport a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit and process your content, solely to the extent necessary to operate and provide the Service to you and to the recipients you share it with. This includes generating previews, thumbnails and photobooks, packaging folders as ZIP files for download, displaying pastes as formatted text, scanning files for malware and checking pastes and their links for abuse. This license ends when your content is deleted from the Service.

You are solely responsible for your content and for the consequences of sharing it. You represent and warrant that you own your content or hold all the rights, licenses and permissions needed to upload and share it, and that neither your content nor its use through the Service violates these Terms, any applicable law or the rights of any third party.

Anyone who has the download link of an upload or the link of a paste can access it, unless you protect it with a password where your plan allows it. Anyone who has the link of a request can see it and send files to it until it is closed or deleted. You are responsible for choosing who receives your links and for keeping them confidential. Fileport is not responsible for access to your content by anyone who obtains its link.

Fileport does not monitor or review content as a general practice. However, we may review, remove or disable access to any content at any time and without notice if we believe that it violates these Terms or the law, if we receive a report about it, or if we are required to do so by law.

7. Storage, expiration and deletion

  • Uploads remain available until they expire or are deleted. Uploads by guests and free accounts expire 7 days after they are uploaded. Account holders on a paid plan may choose a different expiration period, including no expiration.
  • QR codes remain available until they are deleted. QR codes of free accounts are deleted after 12 months without a scan. If a suspended subscription is not resumed within 30 days, each account keeps its most scanned QR code as a free QR code and its other QR codes are deleted.
  • Requests remain available until they are deleted. Files sent to the requests of free accounts expire 7 days after they are sent, and files sent to the requests of account holders on a paid plan do not expire. Deleting a request permanently deletes the files sent to it.
  • Uploads count against the storage allowance of your plan, as shown on our Pricing page.
  • Uploads set to be deleted after download are deleted once they have been downloaded.
  • An upload that is interrupted and makes no progress for several hours may be deleted automatically.
  • Uploads and QR codes that expire or are deleted, whether by you, by the account holder who invited you or by us, are permanently deleted and cannot be restored.
  • The Service is not a backup or archiving service. Fileport cannot be held responsible for any loss or corruption of data, and you are solely responsible for keeping your own copies of your content.

8. Acceptable Use Policy

You may not use the Service, or allow or help anyone else to use it, to upload, store, share or distribute any of the following, whether in files, in the text of pastes or through links:

  • Child sexual abuse material, child erotica or any other content that sexualizes minors
  • Terrorist content, including content addressed by Regulation (EU) 2021/784 of the European Parliament and of the Council of 29 April 2021 on addressing the dissemination of terrorist content online
  • Content depicting zoophilia
  • Content that infringes the copyright, trademarks or other intellectual property rights of others, including copyrighted material shared without the permission of its owner
  • Viruses, malware, ransomware or any other malicious code
  • Software or files used for spamming, phishing or denial of service (DoS and DDoS) attacks
  • Phishing content, such as text or links that impersonate a person, a company or a service, including Fileport, in order to obtain passwords, payment details or other information
  • Misleading links, such as links that show one address but lead to another, or that disguise where they lead in order to deceive
  • Content used to harass, threaten or intimidate a person, or to damage property
  • Defamatory content, or content that promotes defamation
  • Any other content whose upload or distribution is unlawful

You also agree not to:

  • Use the email feature of the Service to send unsolicited or bulk messages
  • Use the Service in a way that stresses its resources to the point of degrading performance for other users
  • Probe, breach or circumvent any security or authentication measure of the Service, or access data that is not intended for you
  • Access, search or create accounts by any means other than our publicly supported interfaces, for example by scraping or by creating accounts in bulk
  • Circumvent the limits that apply to guests and free accounts
  • Interfere with or disrupt the Service or the servers and networks it runs on

We have zero tolerance for violations of this Acceptable Use Policy. We may investigate any suspected violation, in particular when we receive a report of harmful content, and we may remove content, delete uploads and suspend or terminate accounts without notice. Fileport cooperates with law enforcement authorities and reserves the right to notify them if it suspects that you are engaged in unlawful activities, and to provide them with relevant information as permitted by law.

To prevent abuse, we may restrict or block access to the Service or to some of its features from certain networks, services or regions, including VPNs, proxies and anonymizing networks. We may also delete free uploads whose links are distributed on websites that we have identified as sources of abuse, and block the network addresses used to upload malware.

Uploads are checked automatically when they are complete. We may delete an upload that our checks find to be malicious or abusive, or that holds a copy of a file we removed for abuse, block the network address it was uploaded from and lock the account that made it.

Pastes are checked automatically when they are created or edited. We may refuse or delete a paste, or show its links as plain text, if it links to a website that we have identified as a source of abuse, if it resembles phishing, if it matches a paste that we have removed for abuse or if our checks find it abusive, and we may block the network address it was sent from and lock the account that sent it. To protect recipients, links in pastes by guests are shown as plain text, and links in pastes by free accounts first show where they lead.

This policy also applies to files shown through QR codes, and we may delete a QR code whose file violates it. It also applies to requests, and we may close or delete a request that violates it.

If you believe that content on Fileport violates this policy, please report it through the Abuse Form and include the download links of the files, the links of the pastes, the links of the QR codes (https://fileport.io/q/...) or the links of the requests (https://fileport.io/r/...) concerned. Every paste also has a Report link that opens the form with its link filled in.

9. Copyright and DMCA

Fileport respects the intellectual property of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (the “DMCA”), Fileport responds expeditiously to notices of alleged copyright infringement committed through the Service.

If you are a copyright owner, or are authorized to act on behalf of one or under any exclusive right under copyright, you may report alleged infringement through the Abuse Form. Your notice should include:

  • A description of the copyrighted work that you claim has been infringed
  • The download links, paste links, QR code links (https://fileport.io/q/...) or request links (https://fileport.io/r/...) of the material that you claim is infringing
  • Your contact information, including your email address
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent or the law
  • A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on its behalf
  • Your physical or electronic signature

In appropriate circumstances, Fileport terminates the accounts of users who repeatedly infringe the copyrights of others.

10. Paid plans and billing

Fileport partners with Stripe for automated subscription billing and invoicing. By subscribing to a paid plan, you agree to the following:

  • Paid plans are billed monthly and in advance. You authorize us to charge your payment method automatically at the start of each billing period, on the monthly anniversary of your first payment, until you cancel.
  • Each additional user that you invite to your account is billed to your account at the rate shown on our Pricing page, in addition to your plan.
  • You agree to pay all taxes that result from your use of the Service, including but not limited to sales tax and value added tax (VAT).
  • We charge your payment method in US dollars. Prices shown in other currencies are estimates for your convenience. Fileport is not responsible for fees charged by your bank or card issuer, such as foreign exchange fees.
  • Promotional discounts apply only for the period and under the conditions stated in the offer.
  • You may switch to another paid plan from your Account page, no more than once every 7 days.
  • You may cancel your subscription at any time from your Account page while logged in. Your plan remains active until the end of the current billing period and does not renew after that.
  • If your subscription ends, whether because you cancelled it or because your payment method could not be charged, your account and the accounts of its users are suspended.
  • All payments are non-refundable, including for partially used billing periods, except where a refund is required by law.
  • We may change our prices at any time. A price change never applies to a billing period that you have already paid for.

You may resume a suspended subscription at any time from your Account page. If it is not resumed within 30 days of its suspension, all uploads, photobooks, pastes and requests of your account and of its users, including the files sent to those requests, are permanently deleted, and each account keeps only its most scanned QR code.

11. Guest and free use

Guest use and free accounts are intended for occasional users and for anyone who wants to try the Service. They are subject to the following limits, which may vary by region and may change at any time:

  • A maximum upload size, shown on our Pricing page for your region
  • Uploads expire 7 days after they are uploaded
  • Guests may make up to 10 uploads per day and keep up to 5 GB of uploads at a time
  • Free accounts may make up to 50 uploads per day, upload up to 50 GB per month and send up to 5 emails per day
  • Guests and free accounts may keep up to 10 pastes at a time, and pastes expire no later than 1 month after they are created
  • Guests may create up to 10 pastes per day, and free accounts up to 50 pastes per day
  • Free accounts may keep 1 QR code at a time, and may create QR codes or replace their files up to 20 times per day
  • Free accounts may keep up to 10 requests at a time, closed requests included, and may create up to 20 requests per day

Registering multiple accounts, or using any other means, to circumvent these limits is strictly forbidden and will result in the termination of your access to the Service.

12. Custom download pages and domains

Account holders whose plan includes it may add a logo, a title and a link to their download pages, and may serve download links from their own domain. You must own, or be authorized to use, any domain, logo or trademark that you add, and your customizations are subject to the Acceptable Use Policy. We may remove a customization or disconnect a domain at any time if it violates these Terms or interferes with the Service.

13. Availability of the Service

Fileport does not guarantee that the Service will be available at all times, that it will be free of errors, interruptions or delays, or that uploads and downloads will reach any particular speed. We may suspend the Service, in whole or in part, for maintenance, for security or for any other reason, and we may modify or discontinue it at any time. In no event shall Fileport be liable to you for any damages arising from or related to the availability of the Service, including the availability of uploads, of pastes and of downloads of hosted content.

14. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Fileport does not warrant that the Service will meet your requirements, that it will be uninterrupted, secure or error free, or that any content will be preserved without loss or corruption.

We implement security measures designed to protect the Service and your content, as described in our Privacy Policy. However, no system is completely secure, and Fileport cannot be held responsible for any data breach that results from unauthorized access. By using the Service, you acknowledge that you understand these risks and agree to assume them.

15. Limitation of liability

To the maximum extent permitted by law, Fileport and its officers, directors, employees and suppliers shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, content, profits, revenue or goodwill, arising out of or related to your use of, or inability to use, the Service, even if Fileport has been advised of the possibility of such damages.

In no event shall Fileport be liable to you or to any third party for any damages arising from or related to content uploaded to or shared through the Service, whether by you or by anyone else.

To the maximum extent permitted by law, the total liability of Fileport for all claims arising out of or related to these Terms or the Service is limited to the amount that you paid to Fileport for the Service in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the limitations above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Fileport and its officers, directors and employees from and against any claims, damages, losses, liabilities and expenses, including reasonable legal fees, arising out of or related to your content, your use of the Service, or your violation of these Terms or of the rights of any third party.

17. Suspension and termination

Fileport reserves the right to suspend or terminate your access to the Service, including your account, your uploads and your pastes, at any time and without notice, if we believe that you:

  • Are in violation of these Terms, including the Acceptable Use Policy
  • Upload or share copyrighted material without permission from the copyright owner
  • Stress system resources to the point of degrading performance for other users
  • Breach or otherwise circumvent any security or authentication measure
  • Access, search or create accounts by any means other than our publicly supported interfaces
  • Attempt to circumvent the limits that apply to guests and free accounts
  • Pose a risk to the Service, to other users or to Fileport

We may also suspend or terminate access to the Service where we are required to do so by law.

You may stop using the Service at any time. Account holders on a paid plan may cancel their subscription as described in section 10, and any account holder may ask us to delete their account through the Contact Support form.

When your access is terminated, your right to use the Service ends immediately and your uploads may be permanently deleted. Termination does not entitle you to a refund. The provisions of these Terms that by their nature should survive termination, including those on content, disclaimers, limitation of liability, indemnification and governing law, survive it.

18. Privacy

You understand that your data will be handled in accordance with our Privacy Policy, which explains what information we collect, how we use it and the choices you have.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. This section does not deprive you of the protection of the mandatory laws of your country of residence that apply to you as a consumer.

20. General

  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fileport regarding the Service and supersede any prior agreements on the same subject.
  • If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  • Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • You may not assign or transfer your rights under these Terms without our prior written consent. Fileport may assign its rights under these Terms without restriction, including in connection with a merger, acquisition or sale of assets.
  • Fileport is not liable for any failure or delay in performing its obligations that results from causes beyond its reasonable control.
